Agreement to Terms

Welcome to Kizu! These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Sheriax Solutions ("Company," "we," "our," or "us") governing your access to and use of the Kizu mobile application ("App") and all related services (collectively, the "Services").

By downloading, installing, or using Kizu, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

1.1 Age Requirement

You must be at least 13 years old (or 16 in the European Economic Area) to use Kizu. By using the App, you represent and warrant that you meet this age requirement.

1.2 Capacity

You represent that you have the legal capacity to enter into these Terms and to use the Services in accordance with all applicable laws.

1.3 Account Responsibility

If you create an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

2.1 Account Creation

To use certain features of Kizu, you must create an account. You agree to:

Provide accurate and complete information
Maintain and update your information as needed
Keep your password secure and confidential
Notify us immediately of any unauthorized access

2.2 Account Security

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

2.3 One Account Per User

Each user may maintain only one account. We reserve the right to terminate duplicate accounts.

3. Description of Services

3.1 What Kizu Provides

Kizu is a personal finance management application that offers:

Manual transaction tracking
AI-powered receipt and document scanning
Expense categorization
Budget creation and monitoring
Financial insights and analytics
Kizu Score (financial health assessment)
AI financial assistant

3.2 Nature of the Service

Kizu is a personal finance tool, NOT a financial advisor. The App provides tools and insights to help you manage your finances, but:

We do not provide investment advice
We do not provide tax advice
We do not provide legal advice
We are not a licensed financial institution
You should consult qualified professionals for financial decisions

3.3 AI Features

Our AI features are designed to assist with data extraction and provide general insights. AI-generated content:

May contain errors or inaccuracies
Should be reviewed and verified by you
Is not a substitute for professional advice

4. Subscription and Payments

4.1 Free and Pro Tiers

Kizu offers:

Free Tier: Limited features at no cost
Kizu Pro: Premium features with a subscription

4.2 Free Tier Limitations

The Free tier includes:

Up to 30 AI scans per month
Up to 3 accounts
Up to 3 budgets
Up to 10 AI chat queries per month
1 year of transaction history
CSV export only

4.3 Kizu Pro Features

Kizu Pro includes:

Unlimited AI scans
Unlimited accounts
Unlimited budgets
Unlimited AI chat queries
Unlimited transaction history
CSV and PDF export
Cloud backup
Premium themes
Priority support

4.4 Subscription Pricing

Current pricing (subject to change):

Monthly: ₹249/month (approximately $2.99 USD)
Yearly: ₹1,999/year (approximately $23.99 USD)

Prices may vary by region and currency. The actual price will be displayed before purchase.

4.5 Billing

Subscriptions are billed through Apple App Store or Google Play Store
Payment is charged to your App Store/Play Store account
Subscriptions automatically renew unless cancelled
You can manage subscriptions in your device's store settings

4.6 Free Trials

We may offer free trial periods for Kizu Pro
You will not be charged during the trial period
If you don't cancel before the trial ends, your subscription will begin and you will be charged
Free trials are limited to one per user

4.7 Cancellation

You may cancel your subscription at any time
Cancellation takes effect at the end of the current billing period
You will retain Pro access until the period ends
No refunds for partial periods

4.8 Refunds

Refund requests are handled by Apple or Google per their policies
We do not directly process refunds
Contact Apple Support or Google Play Support for refund requests

4.9 Price Changes

We may change subscription prices with notice
Price changes take effect at the start of your next billing period
You can cancel if you don't agree to new pricing

5. User Content and Data

5.1 Your Content

"User Content" includes all data you enter or upload to Kizu:

Transaction information
Account details
Images and documents
Notes and tags

5.2 Ownership

You retain ownership of your User Content. By using Kizu, you grant us a limited license to:

Store your data on our servers
Process your data to provide the Services
Use anonymized, aggregated data to improve our Services

5.3 Your Responsibilities

You are responsible for:

The accuracy of your User Content
Having the right to upload any content you submit
Not uploading illegal, harmful, or infringing content

5.4 Data Accuracy

Kizu relies on information you provide
AI scanning may produce errors
Always verify AI-extracted data before saving
We are not responsible for errors in your financial records

5.5 Backup

We provide cloud backup for Pro users
Free users should export data regularly
We are not responsible for data loss

6. Acceptable Use

6.1 Permitted Use

You may use Kizu only for:

Personal, non-commercial finance management
Lawful purposes
Purposes consistent with these Terms

6.2 Prohibited Conduct

You agree NOT to:

Illegal Activities

Use the App for any illegal purpose
Upload content that violates laws
Engage in fraud or money laundering
Evade taxes or financial regulations

Harmful Activities

Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Services
Transmit viruses or malicious code
Overwhelm our infrastructure (DDoS, etc.)

Abuse of Service

Create multiple accounts to circumvent limits
Share your account credentials
Resell or redistribute the Services
Use automated systems to access the App (bots, scrapers)

Intellectual Property

Reverse engineer or decompile the App
Copy, modify, or distribute our software
Remove proprietary notices from the App
Create derivative works based on the App

Content Violations

Upload false or misleading information
Upload content that infringes others' rights
Upload offensive, abusive, or harmful content

6.3 Enforcement

We may, without notice:

Remove content that violates these Terms
Suspend or terminate accounts
Report illegal activities to authorities
Take legal action if necessary

7. Intellectual Property

7.1 Our Intellectual Property

Kizu and its contents are protected by intellectual property laws:

The Kizu name, logo, and branding are trademarks of Sheriax Solutions
The App's software, design, and content are copyrighted
Our AI models and algorithms are proprietary

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on your devices
Use the App for personal, non-commercial purposes
Access the Services according to these Terms

This license does not include the right to:

Modify or create derivative works
Reverse engineer the App
Sublicense or transfer your rights
Use for commercial purposes

7.3 Feedback

If you provide feedback or suggestions about Kizu:

You grant us the right to use this feedback without compensation
We may implement suggestions without any obligation to you

8. Third-Party Services

8.1 Third-Party Integrations

Kizu may integrate with third-party services:

Google Sign-In for authentication
Apple/Google for payment processing
AI providers for text extraction

8.2 Third-Party Terms

Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

8.3 Links

The App may contain links to external websites. We do not endorse or control these sites and are not responsible for their content or practices.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability
Uninterrupted or error-free operation

9.2 No Financial Advice

KIZU IS NOT A FINANCIAL ADVISOR. We do not provide:

Investment advice
Tax advice
Legal advice
Professional financial guidance

You should consult qualified professionals for financial decisions. We are not responsible for financial decisions you make based on using Kizu.

9.3 AI Limitations

Our AI features:

May produce errors or inaccuracies
Should not be relied upon without verification
Are not guaranteed to work with all document types
May not be available at all times

9.4 Data Accuracy

We do not guarantee:

The accuracy of AI-extracted data
The completeness of your financial records
That the App will meet your specific needs
Compatibility with all devices

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHERIAX SOLUTIONS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Personal injury or property damage
Any damages arising from:
- Your use or inability to use the Services
- Unauthorized access to your data
- Errors or inaccuracies in the Services
- Third-party conduct or content
- Any other matter relating to the Services

10.2 Cap on Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED:

The greater of:

The amount you paid us in the 12 months before the claim, OR
$100 USD

10.3 Essential Purpose

These limitations apply even if:

We have been advised of the possibility of damages
A remedy fails of its essential purpose

10.4 Jurisdictional Limitations

Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sheriax Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any law or third-party rights
Your User Content
Your negligence or misconduct

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@kizu.app to attempt informal resolution. Most disputes can be resolved this way.

12.2 Arbitration Agreement

PLEASE READ CAREFULLY: This affects your legal rights.

You and Sheriax Solutions agree that any dispute arising from these Terms or the Services shall be resolved through binding individual arbitration, not in court, except:

Small claims court cases
Injunctive relief for intellectual property
Disputes that cannot legally be arbitrated

12.3 No Class Actions

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS. All disputes must be brought in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

12.4 Arbitration Rules

Arbitration will be administered by a recognized arbitration body
The arbitrator's decision is final and binding
Each party bears their own costs
Arbitration will be conducted in English

12.5 Opt-Out

You may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms at legal@kizu.app.

12.6 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

Using the "Delete Account" feature in Settings
Contacting us at support@kizu.app

13.2 Termination by Us

We may suspend or terminate your account if:

You violate these Terms
You engage in fraudulent or illegal activity
You fail to pay subscription fees
We are required by law
We discontinue the Services

13.3 Effect of Termination

Upon termination:

Your license to use the App ends
You lose access to your account and data
Subscription fees are non-refundable
Provisions that should survive (indemnification, limitation of liability, dispute resolution) will continue

13.4 Data After Termination

We will delete your data within 30 days of account deletion
Export your data before deleting your account
Some anonymized data may be retained for analytics

14. Changes to Terms

14.1 Modifications

We may modify these Terms at any time. When we do:

We will update the "Last Updated" date
For material changes, we will notify you via email or in-app notification
Changes are effective upon posting unless otherwise stated

14.2 Your Acceptance

Your continued use of Kizu after changes constitutes acceptance of the new Terms. If you don't agree to changes, you must stop using the App.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, government actions, etc.).

Notices to you: via email or in-app notification

15.7 Language

These Terms are written in English. Translations are for convenience only; the English version controls.

16. Apple and Google Terms

16.1 App Store (Apple)

If you download Kizu from the Apple App Store:

These Terms are between you and Sheriax Solutions, not Apple
Apple has no obligation to provide maintenance or support
Apple is not responsible for any claims related to the App
Apple is a third-party beneficiary of these Terms

16.2 Google Play

If you download Kizu from Google Play:

These Terms are between you and Sheriax Solutions, not Google
Google has no obligation beyond providing the platform
Google's terms and policies also apply to your use
